END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“EULA”) is a legal and binding agreement between Learning Saint, together with its parent entities, subsidiaries, affiliates, associated entities, international offices, successors, licensors, service providers, and permitted assigns (collectively, “Learning Saint,” “Company,” “we,” “us,” or “our”), and the individual or entity that downloads, installs, accesses, registers for, purchases, activates, logs into, uses, or otherwise interacts with the Learning Saint platform, software, applications, websites, portals, dashboards, learning systems, digital tools, content, or related services (“you,” “your,” or “End User”).

By clicking “I ACCEPT,” “SIGN UP,” “ENROLL,” “PAY NOW,” “LOGIN,” “CONTINUE,” or any similar acceptance button, or by downloading, installing, accessing, or using any part of the Licensed Platform, you acknowledge that you have read, understood, and agreed to be bound by this EULA. If you do not agree, you must not install, access, or use the Licensed Platform.

1. DEFINITIONS

For purposes of these Terms:

1.1 “Licensed Platform” means any Learning Saint website, mobile application, web application, portal, dashboard, LMS, digital classroom, recorded-content system, webinar interface, downloadable software component, communication interface, access credential, or related digital environment made available by Learning Saint.

1.2 “Licensed Materials” means all software, code, features, interfaces, recordings, videos, audios, written materials, assignments, assessments, quizzes, projects, graphics, question banks, presentations, documents, and other educational or operational content made available through the Licensed Platform.

1.3 “Program” means any educational, training, mentoring, certification-preparation, academic-support, professional-development, counseling, placement-support, workshop, webinar, live, self-paced, or hybrid offering made available by Learning Saint.

1.4 “User Account” means the account, profile, login credentials, OTP access, user ID, password, or other authentication credentials used to access the Licensed Platform.

1.5 “Applicable Law” means any law, regulation, rule, code, directive, order, or judicial requirement applicable to the relevant transaction, user, jurisdiction, or Learning Saint contracting entity.

2. GLOBAL SCOPE AND CONTRACTING ENTITY

2.1 Learning Saint operates across multiple jurisdictions, including the United States, the United Kingdom, India, and other international markets.

2.2 The Learning Saint entity contracting with you under this EULA shall be the entity identified in your invoice, order page, enrollment confirmation, payment page, or other official Learning Saint communication.

2.3 If no specific contracting entity is separately identified, the Learning Saint entity that markets, administers, receives payment for, or delivers the relevant Licensed Platform or Program to you shall be treated as the contracting entity.

2.4 This EULA is intended to operate globally, but it shall always be interpreted subject to any non-waivable rights or remedies that apply under Applicable Law.

3. LICENSE GRANT

3.1 Subject to your compliance with this EULA and all related policies, Learning Saint grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Licensed Platform and Licensed Materials solely for your own lawful, internal, individual, non-commercial educational use in connection with the specific Program or service for which you are authorized (“Permitted Purpose”).

3.2 This license is granted, not sold. No ownership right in the Licensed Platform or Licensed Materials is transferred to you.

3.3 Your license is limited to the duration of your authorized access, Program term, subscription term, or other access period designated by Learning Saint, unless earlier suspended or terminated under this EULA.

4. ACCOUNT REGISTRATION, AUTHENTICATION, AND SECURITY

4.1 You may be required to create a User Account and complete email verification, mobile verification, OTP verification, identity verification, or other authentication steps before accessing the Licensed Platform.

4.2 You agree to provide accurate, current, and complete information and to keep it updated.

4.3 Your User Account is for your exclusive use only. You shall not share, lend, transfer, disclose, or otherwise permit any third party to use your User Account.

4.4 You are solely responsible for:

maintaining the confidentiality of your login credentials;
all activity occurring under your User Account; and
promptly notifying Learning Saint of any suspected unauthorized access or misuse.

4.5 Any sharing, resale, misuse, or compromise of your User Account may result in immediate suspension or termination of access without refund.

5. LICENSE RESTRICTIONS

5.1 You shall not, directly or indirectly:

copy, reproduce, republish, distribute, sell, resell, license, sublicense, rent, lease, loan, assign, transfer, or commercially exploit the Licensed Platform or Licensed Materials;
modify, adapt, translate, enhance, or create derivative works from the Licensed Platform or Licensed Materials;
reverse-engineer, decompile, disassemble, decode, extract source code from, or attempt to derive the structure, logic, or underlying ideas of the Licensed Platform;
scrape, crawl, mirror, automate access to, or bulk-download content from the Licensed Platform;
use the Licensed Platform to train, support, deliver, or operate any competing educational or training service;
remove, obscure, or alter copyright, trademark, ownership, or other proprietary notices;
share class links, webinar links, recordings, assessments, question banks, instructor material, mentor material, or restricted content with any third party;
access or use the Licensed Platform in a way that violates any law, third-party right, or Learning Saint policy.

5.2 Any use outside the Permitted Purpose is unauthorized and may result in immediate suspension, legal action, or both.

6. LICENSED MATERIALS AND EDUCATIONAL CONTENT

6.1 Learning Saint may provide access to videos, lectures, recordings, assignments, assessments, tests, projects, documents, notes, code examples, presentations, mentor sessions, faculty sessions, discussion forums, and other Program-related materials.

6.2 Learning Saint reserves the right to amend, revise, update, replace, remove, supplement, or restructure any part of the Licensed Materials at any time.

6.3 Learning Saint does not guarantee that any particular instructor, feature, lesson, sequence, recording, question bank, mentor, faculty member, or content item will remain available permanently.

6.4 Learning Saint may, in its discretion, restrict access to updated, advanced, enhanced, or expanded materials unless additional fees are paid where applicable.

7. INTELLECTUAL PROPERTY

7.1 The Licensed Platform and Licensed Materials are owned by Learning Saint and/or its licensors and are protected by copyright, trademark, trade secret, software, database, and other intellectual property laws.

7.2 Except for the limited license expressly granted under this EULA, no right, title, or interest in the Licensed Platform or Licensed Materials is granted to you.

7.3 All trademarks, logos, service marks, trade names, and certification-related third-party marks displayed on the Licensed Platform are the property of their respective owners. Their use does not imply endorsement or affiliation unless expressly stated by Learning Saint in writing.

8. UPDATES, MODIFICATIONS, AND PLATFORM CHANGES

8.1 Learning Saint may deploy updates, patches, fixes, upgrades, interface changes, security changes, content changes, or feature changes at any time.

8.2 Learning Saint may add, remove, suspend, discontinue, or replace any feature, section, functionality, or content of the Licensed Platform without liability, subject to any non-waivable legal requirements.

8.3 Certain updates may be automatic where technically enabled or reasonably necessary for security, compliance, or platform integrity.

9. THIRD-PARTY SERVICES AND INTEGRATIONS

9.1 The Licensed Platform may depend on or interoperate with third-party systems, including payment processors, webinar tools, cloud providers, video platforms, communication systems, analytics providers, verification providers, or advertising technologies.

9.2 Learning Saint does not guarantee the uninterrupted availability, security, or performance of such third-party services.

9.3 Your use of third-party services may also be subject to those third parties’ own lawful terms and privacy notices.

10. USER CONTENT AND SUBMISSIONS

10.1 The Licensed Platform may permit you to upload, submit, post, transmit, or otherwise make available assignments, projects, assessments, comments, messages, files, feedback, recordings, or other material (“User Content”).

10.2 You retain ownership of your User Content, subject to the license granted below.

10.3 By submitting User Content, you grant Learning Saint a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt, evaluate, display, process, use, and distribute such User Content to the extent necessary for:

Program delivery;
academic evaluation;
mentoring and support;
quality control;
platform operation;
compliance;
dispute handling; and
legitimate business purposes described in the Privacy Policy.

10.4 You represent and warrant that:

you have the right to submit the User Content;
the User Content does not violate any law or third-party right; and
the User Content is not fraudulent, malicious, abusive, or infringing.

11. PRIVACY AND DATA PROCESSING

11.1 Learning Saint processes personal data in accordance with its Privacy Policy and Applicable Law.

11.2 By using the Licensed Platform, you acknowledge that Learning Saint may collect, store, use, disclose, transfer, and otherwise process personal data, usage data, account data, technical data, assessment data, recordings, and support data as described in the Privacy Policy.

11.3 Where the Licensed Platform includes assessment monitoring, identity checks, webcam monitoring, or other integrity controls, you acknowledge that such functionality may be used where reasonably necessary for Program delivery, security, fraud prevention, or academic integrity, subject to Applicable Law and the Privacy Policy.

11.4 Because Learning Saint operates internationally, data may be processed across borders by Learning Saint entities or authorized service providers, subject to the Privacy Policy and Applicable Law.

12. PAYMENTS, FEES, AND STRICTLY NON-REFUNDABLE RULE

12.1 Access to certain Licensed Platform features, Programs, subscriptions, or services may require payment of fees.

12.2 All payment terms, billing rules, installment terms, and refund treatment shall be governed by Learning Saint’s Refund and Return Policy, payment page, invoice, and any signed written agreement where applicable.

12.3 Except to the limited extent required by non-waivable Applicable Law, all payments made to Learning Saint are final, binding, irrevocable, strictly non-refundable, and non-returnable.

12.4 No change of mind, dissatisfaction, partial use, non-use, technical issue at your end, suspension, withdrawal, non-attendance, or discontinuation shall create any refund or return right unless required by non-waivable Applicable Law or expressly confirmed in writing by an authorized representative of Learning Saint.

12.5 If access to the Licensed Platform is provided on a paid basis, clear pre-purchase disclosure remains important because some consumer-protection regimes preserve mandatory rights for digital content and services.

13. NO GUARANTEE OF RESULTS

13.1 Learning Saint is an independent education, training, mentoring, and certification-preparation provider.

13.2 Learning Saint does not guarantee:

any exam result;
any certification result;
any passing score;
any admission result;
any job or internship;
any salary level;
any visa or immigration result; or
any other academic, professional, or commercial outcome.

13.3 Any testimonials, learner stories, examples, marketing statements, or prior outcomes are illustrative only and shall not be interpreted as guarantees.

14. AVAILABILITY, SUPPORT, AND NO WARRANTY

14.1 The Licensed Platform and Licensed Materials are provided on an “as is” and “as available” basis.

14.2 To the fullest extent permitted by Applicable Law, Learning Saint disclaims all express, implied, statutory, and other warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, compatibility, accuracy, security, and uninterrupted availability.

14.3 Learning Saint does not warrant that:

the Licensed Platform will be uninterrupted, timely, or error-free;
defects will be corrected;
all content will be complete, current, or suitable for your needs;
the Platform will always remain available on every device, browser, region, or operating environment.

14.4 Learning Saint may, but is not obligated to, provide maintenance, support, troubleshooting, or updates unless expressly stated in writing.

15. LIMITATION OF LIABILITY

15.1 To the fullest extent permitted by Applicable Law, Learning Saint and its affiliates, directors, officers, employees, contractors, faculty, mentors, licensors, service providers, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, loss of data, loss of opportunity, loss of goodwill, interruption, or device damage.

15.2 To the fullest extent permitted by Applicable Law, Learning Saint’s aggregate liability arising out of or in connection with the Licensed Platform, Licensed Materials, or this EULA shall not exceed the amount actually paid by you to Learning Saint for the specific Program or service giving rise to the claim.

15.3 Nothing in this EULA shall exclude or limit liability to the extent such liability cannot lawfully be excluded or limited under Applicable Law.

16. SUSPENSION AND TERMINATION

16.1 This EULA becomes effective when you accept it electronically or begin using the Licensed Platform and remains in effect until terminated.

16.2 Learning Saint may suspend, restrict, deactivate, or terminate your access with immediate effect if:

you breach this EULA or any related policy;
you share or misuse your User Account;
you engage in misconduct, infringement, cheating, fraud, abuse, or unauthorized distribution;
you fail to make required payments;
Learning Saint determines that continued access creates operational, academic, legal, reputational, or security risk.

16.3 Upon termination:

your license immediately ends;
you must stop using the Licensed Platform and Licensed Materials;
Learning Saint may disable your access without further notice;
no refund shall be due except where required by non-waivable Applicable Law.

16.4 Clauses relating to intellectual property, payment obligations, privacy, disclaimers, liability limits, indemnity, dispute provisions, and all provisions intended by their nature to survive shall survive termination.

17. INDEMNITY

17.1 You agree to defend, indemnify, and hold harmless Learning Saint and its affiliates, licensors, contractors, officers, directors, employees, faculty, mentors, agents, and service providers from and against all claims, losses, damages, liabilities, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

your breach of this EULA;
your misuse of the Licensed Platform or Licensed Materials;
your User Content;
your violation of any law or third-party right.

18. EXPORT, SANCTIONS, AND LAWFUL USE

18.1 You agree not to use the Licensed Platform in violation of any applicable export control, sanctions, anti-fraud, cybercrime, educational, intellectual property, or other Applicable Law.

18.2 You represent that you are not using the Licensed Platform from a jurisdiction or in a manner prohibited by Applicable Law.

19. ELECTRONIC RECORDS AND ACCEPTANCE

19.1 You agree that electronic records, click-wrap acceptance, digital confirmations, access logs, OTP logs, payment records, and account records may be used to document your acceptance of this EULA and your use of the Licensed Platform.

19.2 Electronic contracting and records are recognized in India under the Information Technology Act, 2000, which supports this type of platform acceptance and recordkeeping for India-facing operations.

20. GOVERNING LAW AND DISPUTE RESOLUTION

20.1 Because Learning Saint operates internationally, the governing law and dispute forum should follow the relevant contracting entity and applicable transaction, subject always to non-waivable Applicable Law.

20.2 Unless otherwise specified in a signed written agreement or required by non-waivable Applicable Law:

if your contracting entity is a Learning Saint entity operating from the United States, this EULA shall be governed by the law of the state identified in the relevant invoice, order form, or contracting record;
if your contracting entity is a Learning Saint entity operating from the United Kingdom, this EULA shall be governed by the laws of England and Wales;
if your contracting entity is a Learning Saint entity operating from India, this EULA shall be governed by the laws of India;
if your contracting entity is another international Learning Saint entity, the governing law shall be the law of that entity’s principal place of incorporation or operation unless mandatory law requires otherwise.

20.3 Subject to non-waivable Applicable Law, the courts or dispute forums designated by the relevant contracting documentation shall have jurisdiction.

20.4 Nothing in this EULA is intended to deprive a consumer of any non-waivable right or remedy preserved by Applicable Law. UK consumer law, for example, preserves certain statutory rights for digital content and services that cannot simply be disclaimed by contract.

21. OPEN SOURCE AND THIRD-PARTY LICENSES

21.1 Certain components of the Licensed Platform may include software, libraries, tools, or code governed by third-party or open-source license terms.

21.2 Where required, those third-party license terms shall apply to the relevant component in addition to this EULA.

21.3 Nothing in this EULA is intended to restrict any rights you may have under an applicable open-source license with respect to the specific code governed by that license.

22. CHANGES TO THIS EULA

22.1 Learning Saint may amend, update, or modify this EULA from time to time by posting a revised version on the Licensed Platform or otherwise communicating it to users.

22.2 Your continued use of the Licensed Platform after such update constitutes acceptance of the revised EULA.

23. SEVERABILITY

23.1 If any provision of this EULA is found invalid, unlawful, or unenforceable, that provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

24. WAIVER

24.1 No failure or delay by Learning Saint in exercising any right, remedy, or power under this EULA shall operate as a waiver of that right, remedy, or power.

24.2 Any waiver must be in writing and signed by an authorized representative of Learning Saint.

25. ENTIRE AGREEMENT

25.1 This EULA, together with the Terms of Use, Terms and Conditions, Privacy Policy, Refund and Return Policy, and any Program-specific written terms incorporated by reference, constitutes the entire agreement between you and Learning Saint relating to the Licensed Platform and supersedes prior understandings on that subject, except where a separate signed written agreement expressly provides otherwise.
